Welcome to Audax. These Terms of Service ("Terms") govern your use of www.audaxwatches.com (the "Website") and every purchase you make from us. By browsing the Website or placing an order, you agree to these Terms. If you do not agree, please do not use the Website.

Nothing in these Terms limits any rights you have under the consumer protection laws of the country where you live. Where local law gives you stronger protection, that law applies.

1. Who We Are

Audax (also styled "AUDAX LONDON") is a watch brand. Which company you contract with depends on where your order is delivered:

• Orders delivered within India: AUDAX WATCHES PRIVATE LIMITED, a PRIVATE LIMITED registered in India, GSTIN 27AAECE9148A1ZR, registered office at Mumbai Suburban, Maharashtra, 400097

• Orders delivered outside India (including the USA, EU/EEA, UK and all other countries): A limited liability company formed in Wyoming, USA, with its registered address at WY 82801.

In these Terms, "Audax", "we", "us" and "our" mean the relevant company above. "You" means the person using the Website or buying from us.

2. Eligibility

You must be at least 18 years old, or the age of majority where you live, to place an order. By ordering, you confirm that the information you give us is accurate and that you are buying for personal use, not for resale.

3. Our Products

• Lab-grown diamonds. Diamonds used in Audax timepieces are laboratory-grown. They have the same physical, chemical and optical properties as mined diamonds, but they are not natural or mined diamonds.

• IGI certification. Only selected diamond models, including our Dancing Diamond collection, are supplied with an International Gemological Institute (IGI) report. A product is IGI-certified only if its product page says so.

• Descriptions and images. We describe and photograph our products as accurately as we can. Colours, finishes and sizes may look slightly different depending on your screen, and minor variations are normal in hand-finished pieces.

• Water resistance. Water resistance differs by model and is stated on each product page. Please follow the rating and our care guidance. Water damage caused by use beyond the stated rating is not covered by our warranty.

• Availability. Some collections are limited. We may discontinue or change any product at any time without notice.

4. Prices, Currency and Taxes

• Prices are shown in the currency displayed at checkout. Your bank or card issuer may apply its own exchange rate or fees, which are outside our control.

• India: prices include GST.

• Outside India: prices include all import duties and taxes (Delivered Duty Paid). You will not be asked to pay customs charges on delivery. If a courier asks you for any duty or tax on an Audax order, do not pay it and contact us at Support@audaxwatches.com

• If a product is listed at an obviously incorrect price because of a technical or typographical error, we may cancel the order and refund you in full, even after we have confirmed it.

5. Orders and Acceptance

Placing an order is an offer to buy. We accept your offer when we send you a shipping confirmation. Your order confirmation email only confirms that we have received your order. We may decline or cancel an order, for example where a product is unavailable, payment cannot be verified, the order appears fraudulent, or quantity limits are exceeded. If we cancel after you have paid, we will refund you in full to your original payment method.

6. Payment

We accept Visa, Mastercard, American Express, Discover, Diners Club, PayPal, Apple Pay, Google Pay and Shop Pay& UPI as well. Payments are processed by secure third-party payment providers. We do not store your full card details. Payment is taken when you place your order.

7. Shipping and Delivery

All orders ship from our facility in Surat/Mumbai, India. Delivery timelines, charges and tracking are set out in our Shipping & Delivery Policy, which forms part of these Terms. Risk of loss passes to you when the order is delivered to the address you gave us. Please check your address carefully. We are not responsible for delays or losses caused by an incorrect address.

8. Cancellations

You may cancel an order free of charge before it has been dispatched. Once an order has shipped, the Return & Refund Policy applies instead. Full details are in our Cancellation Policy.

9. Returns and Refunds

You may return eligible items within 14 days of delivery under our Return & Refund Policy. Customers in the EU, EEA and UK also have a statutory right to withdraw from a purchase within 14 days of delivery without giving a reason. That right is explained in our Return & Refund Policy and is not limited by these Terms.

10. Warranty

Every Audax watch is covered by a 2-year limited warranty against manufacturing defects from the date of delivery, as set out in our Warranty Policy. This warranty is in addition to, and does not replace, your statutory rights. For example, in the EU and UK you have legal rights if goods are faulty or not as described.

11. Lifetime Exchange Programme

Eligible IGI-certified pieces bought directly from www.audaxwatches.com may be traded in under our Lifetime Exchange Programme. The terms of that programme are set out on the Lifetime Exchange page. Purchases made through Amazon, Etsy or any other retailer are not eligible.

12. Promotions, Discount Codes and Gift Cards

Promotions and discount codes are subject to the conditions stated with them. Unless stated otherwise, they cannot be combined, have no cash value and may be withdrawn at any time. Gift cards cannot be exchanged for cash except where the law requires it.

13. Your Account

If you create an account, you are responsible for keeping your login details confidential and for all activity under your account. Tell us immediately if you suspect unauthorised use.

14. Reviews and Content You Submit

If you submit a review, photo or other content, you confirm that it is your own genuine experience and that you have the right to share it. You grant us a non-exclusive, royalty-free, worldwide licence to display and use it in connection with Audax. We publish genuine customer reviews only. We do not create, buy or selectively suppress reviews. We may remove content that is unlawful, offensive or unrelated to the product.

15. Intellectual Property

All content on the Website is owned by or licensed to Audax and is protected by intellectual property laws. This includes the Audax name and logo, product designs, photography, video and text. You may not copy, reproduce or use any of it for commercial purposes without our written permission.

16. Acceptable Use

You agree not to:

• use the Website for any unlawful or fraudulent purpose;

• interfere with the Website, its security or its servers;

• use bots or scrapers to collect data or purchase products;

• impersonate any person or misrepresent your identity.

17. Third-Party Services

The Website may link to, or rely on, third-party services such as payment providers, couriers and social media platforms. We are not responsible for their content or practices, and their own terms apply.

18. Limitation of Liability

To the fullest extent permitted by law, our total liability arising from any order is limited to the amount you paid for that order. We are not liable for indirect or consequential losses, or for loss of profit or business. Nothing in these Terms excludes or limits liability that cannot be limited by law. This includes liability for death or personal injury caused by negligence, liability for fraud, and liability under applicable consumer protection laws.

19. Events Outside Our Control

We are not responsible for delays or failures caused by events beyond our reasonable control. Examples include natural disasters, strikes, customs or courier disruption, government action, pandemics and internet outages. If such an event affects your order, we will contact you and you may cancel for a full refund.

20. Privacy

We handle your personal data in accordance with our Privacy Policy. That policy explains how we comply with India's Digital Personal Data Protection Act 2023, the EU and UK GDPR, and applicable US state privacy laws.

21. Governing Law and Disputes

We would always prefer to resolve any concern directly. Please contact us first.

• India: these Terms are governed by the laws of India, including the Consumer Protection Act 2019. Subject to your right to approach the Consumer Commission with jurisdiction over your place of residence, the courts at Mumbai/Surat India have jurisdiction.

• USA and the rest of the world (except the EU, EEA and UK): these Terms are governed by the laws of the State of USA, and disputes are subject to the courts located in United States.

• EU, EEA and UK consumers: these Terms are governed by the laws of Indias, USA. However, you keep the protection of the mandatory consumer laws of the country where you live, and you may bring proceedings in the courts of that country.

23. Changes to These Terms

We may update these Terms from time to time. The version in force when you place an order applies to that order. The "Last updated" date at the top shows when the Terms were last changed.

24. General

If any part of these Terms is found to be unenforceable, the rest remains in effect. Our failure to enforce any right does not waive it. These Terms, together with the policies referred to above, are the entire agreement between you and us about your use of the Website and your purchases.
